Dan Loeb is trying to delay Campbell Soup’s Nov. 29 annual meeting by suing it for running a “campaign of misinformation” to entice investors to reinstate the board.

His Third Point hedge fund was recently hoping Campbell would offer it a few board seats as a compromise as Loeb pushed to replace the entire board, sources said.

Campbell Chairman Les Vinney sent a letter to shareholders Thursday, calling Third Point’s nominees “underqualified.”

One concern raised in Third Point’s suit is Campbell board member Bennett Dorrance’s pledge of shares as collateral for loans. Third Point claims the pledged shares pose potential “conflicts of interest.”

The suit, which was filed in state superior court in Camden, NJ, claims Campbell did not give shareholders “adequate and complete information” about the exit in May of longtime Chief Executive Denise Morrison.

“We are vigorously contesting the Third Point lawsuit,” Campbell said in a statement.
