New York Times scion Arthur “Pinch” Sulzberger’s sister is leaving the newspaper giant’s board and will be replaced by a cousin.

The Times – which has faced heavy criticism from investors over the past year for the dual-class stock structure that keeps the Ochs-Sulzberger family in control – said Cathy Sulzberger decided not to stand for re-election at the company’s annual meeting in April.

She has been a director since 2002.

In her place, the Times is nominating Daniel Cohen.

“As a fourth-generation family member he brings a deep understanding of our company’s historic mission and its long-term business objectives,” Sulzberger said.

Cohen, 54 – a cousin of Pinch, Cathy and board vice chairman Michael – worked as a senior vice president in advertising at the Times from 1996 to 1999 and held other jobs in circulation and corporate planning at the company starting in 1983.
