Wynn Resorts struck back Tuesday against proxy-battle claims by its CEO’s former wife that it lacked female representation.

Not only will the casino company “prioritize women” in its search for directors, it wrote in a letter to stockholders, but 34 percent of its vice presidents or higher already are women.

The letter, in a regulatory filing, responded to a renomination campaign by Elaine Wynn — ex-wife of CEO Steve Wynn — after the board moved to eliminate her by reducing its size.

Elaine, who with her then-husband co-founded Wynn Resorts in 2002, has been on a media charm offensive leading into its April 24 annual meeting that calls board excuses for dumping her “confusing, incorrect and unsubstantiated.”

Monday’s counterclaims of inappropriateness cited Elaine’s selling $10 million of stock during a “blackout period” — a no-no for directors of public companies — and her misplaced confidence in avoiding a “change of control” should she sell down her 9.4 percent stake.
